BLENDTRIP TERMS OF SERVICE
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and BlendTrip ("BlendTrip," "we," "us," or "our") concerning your access to and use of the blendtrip.com website and any associated services, features, content, applications, or products offered by BlendTrip (collectively, the "Services").
By accessing, browsing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Services and must discontinue use immediately.
I. ACCEPTANCE OF TERMS
1.1. Agreement to Terms. These Terms apply to all users of the Services, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content. 1.2. Modifications. BlendTrip reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Services following the posting of any changes to these Terms constitutes acceptance of those changes.
II. USE OF THE SERVICES
2.1. Eligibility. You must be at least 18 years of age or the legal age of majority in your jurisdiction to use the Services. By using the Services, you represent and warrant that you meet this age requirement. 2.2. User Accounts. If the Services require you to register an account, you agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for any activities or actions under your account. BlendTrip cannot and will not be liable for any loss or damage arising from your failure to maintain the security of your account and password. 2.3. Acceptable Use Policy. You agree not to use the Services for any purpose that is prohibited by these Terms or by applicable law. Prohibited activities include, but are not limited to: a. Engaging in any illegal activity or promoting illegal activities. b. Harassing, abusing, insulting, harming, defaming, slandering, disparaging, intimidating, or discriminating based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability. c. Uploading or transmitting viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Services or of any related website, other websites, or the Internet. d. Collecting or tracking the personal information of others. e. Spamming, phishing, pharming, pretexting, spidering, crawling, or scraping. f. Interfering with or circumventing the security features of the Services or any related website, other websites, or the Internet. g. Attempting to gain unauthorized access to any portion of the Services or any other systems or networks connected to the Services. h. Infringing upon or violating our intellectual property rights or the intellectual property rights of others.
III. INTELLECTUAL PROPERTY RIGHTS
3.1. BlendTrip Content. All content and materials available on the Services, including but not limited to text, graphics, website name, code, images, and logos, are the intellectual property of BlendTrip and are protected by applicable copyright and trademark law. Any inappropriate use, including but not limited to the reproduction, distribution, display, or transmission of any content on this site is strictly prohibited, unless specifically authorized by BlendTrip. 3.2. User-Generated Content. By submitting content to the Services, you grant BlendTrip a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such content in any media now known or hereafter developed, for any purpose, without compensation to you. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish the content you submit.
IV. DISCLAIMERS AND LIMITATION OF LIABILITY
4.1. Disclaimer of Warranties. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. BLENDTRIP EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BLENDTRIP MAKES NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. 4.2. Limitation of Liability. IN NO EVENT SHALL BLENDTRIP, ITS DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. BLENDTRIP'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES IS LIMITED TO THE AMOUNT PAID BY YOU TO BLENDTRIP FOR THE USE OF THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
V. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless BlendTrip, its officers, directors, employees, agents, and third parties, for any losses, costs, liabilities, and expenses (including reasonable attorney's fees) relating to or arising out of your use of or inability to use the Services, your violation of these Terms, your violation of any rights of a third party, or your violation of any applicable laws, rules, or regulations. BlendTrip reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with BlendTrip in asserting any available defenses.
VI. TERMINATION
BlendTrip reserves the right to terminate or suspend your access to all or part of the Services, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Services will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
VII. GOVERNING LAW AND JURISDICTION
These Terms shall be governed and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located within the State of Delaware for the purpose of litigating all such claims or disputes.
VIII. MISCELLANEOUS
8.1. Entire Agreement. These Terms constitute the entire agreement between you and BlendTrip regarding your use of the Services. 8.2. Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable. 8.3. Waiver. The failure of BlendTrip to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. 8.4. Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. BlendTrip may freely assign or transfer these Terms without restriction. 8.5.
